Relationship of the Parties
Nothing contained in this Agreement or your use of the Site shall be construed to constitute either party as a partner, joint venturer, employee, or agent of the other party. Each party shall remain an independent contractor responsible for its actions.

Entire Agreement
This Terms of Use constitutes the entire agreement between you and the Site and governs the terms and conditions of your use of the Site, superseding all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

Dispute Resolution
Please read this section carefully. It affects your rights, including your right to file a lawsuit in court. There is no judge or jury in arbitration, and discovery procedures and appellate rights are more limited than in court:

Informal Negotiation
In the event of a Dispute, you and Zenacare Research agree to attempt to avoid the costs of formal dispute resolution by giving each other a full and fair opportunity to address and resolve a dispute informally. The claiming party must send to the other party a notice of dispute, which is a written statement that sets forth the name, address, and contact information of the party giving the notice, detailed factual information sufficient to evaluate the merits of the claiming party’s individualized claim, and the specific relief sought.

Binding Individual Arbitration
You and Zenacare Research agree that any dispute, controversy, or claim arising out of or relating to this agreement shall be submitted to mandatory final and binding arbitration before the American Arbitration Association in accordance with its arbitration rules. The arbitration will be conducted on an individual basis only, and class actions are prohibited.

Governing Law
These Terms of Use will be governed by and construed in accordance with the substantive laws of the State of Florida, without regard to conflict of laws provisions.
